CPAs have been and continue to be bound by professional standards of confidentiality that are even more stringent than those required by law. Therefore, we have always protected your right to privacy.

We collect nonpublic personal information about you that is provided to us by you or obtained by us with your authorization.

Parties to Whom We Disclose Information
For current and former clients, we do not disclose any nonpublic personal information obtained in the course of our practice except as required or permitted by law. Permitted disclosures include, for instance, providing information to our employees, and in limited situations, to unrelated third parties who need to know that information in order to assist us in providing services to you. In all such situations, we stress the confidential nature of information being shared.

We retain records relating to professional services that we provide so that we are better able to assist you with your professional needs and, in some cases, to comply with professional guidelines. Everything You Need to Know About Pennsylvania’s New Annual Report Filing Requirement for 2025

Beginning in 2025, most businesses will have to file a new annual report with the Commonwealth of Pennsylvania. Exceptions include general partnerships, authorities, fictitious names, financial institutions, and other very narrowly defined business types. There are no exceptions according to the size of the business entity.

Annual filing reports must be filed online, and there is a $7 fee (except for non-profits).

Filing deadlines are as follows:

  • Corporations and non-profits: June 30, 2025
  • Limited Liability Companies: September 30, 2025
  • Limited Partnerships: December 31, 2025

The Pennsylvania Department of State is supposed to mail notices of reminders to file but will not be doing so until two months prior to each deadline. Knowing that mail is not always reliable, we would encourage you to file your annual report now.

The filing of this annual report is different from the filing requirement for the Beneficial Ownership Information (BOI) from the federal government. Many other states already have an annual report filing requirement, so we do not expect the court challenges or implementation issues that we have seen regarding BOI filing. We would encourage you to file this annual report with the Commonwealth of Pennsylvania now.

Kent Gerhart

Shareholder & Director of Technologies

Kent has over 35 years of experience in the computer systems and services field as a computer programmer, analyst, operator, and consultant. Before joining Canon Capital as the Director of Technologies in November 2000, he was the owner of KenTech Information Systems, Inc. from 1991-2000. Kent maintains authorizations with technology companies such as Microsoft, Datto, Inc., Altaro Backup, Hewlett Packard, Calyptix Security, and Axis Communications. His education in finance and computer systems comes from Montgomery County Community College and Ursinus College. Kent serves on the board of directors for DCP Theatre in Telford, is a United Way volunteer, and is House Church Shepherd with Renew Community Church in Lansdale. Kent and his wife, Cindy, reside in Telford and they have three grown daughters. Kent’s hobbies range from music (guitar, piano, worship leading), acting in community theatre, and ballroom dancing to doing “handyman” projects.

BOI Reporting Still on Hold After Supreme Court Ruling

We want to provide a new update regarding the Beneficial Ownership Information (BOI) reporting requirements under the Corporate Transparency Act (CTA).

On January 23, 2025, the U.S. Supreme Court issued a stay of a nationwide injunction previously put in place by a district court in Texas (Texas Top Cop Shop, Inc. v. Garland No. 4:24-CV-478 (E.D. Texas 12/3/24)). Despite this development, it’s important to note that a separate injunction from another Texas court (Smith v. U.S. Department of Treasury (January 7, 2025) U.S. Dist. Court, Eastern Dist. of Texas, Case No. 6:24-CV-336)) remains in place.

The Financial Crimes Enforcement Network (FinCEN) announced on January 25, 2025, that reporting companies covered by the BOI reporting requirement do not have to file the reports (and cannot be penalized for not filing) while an injunction remains in place.

However, any small businesses that fall under the CTA may still choose to submit BOI reports voluntarily.

In legislative developments, two bills, HR 425 and S 100, have been introduced in Congress to repeal the Corporate Transparency Act.

Philip Keeler

Phil started with Canon Capital in 2012.  Prior to Canon Capital, he held positions as a Cost Accounting Manager, Director of Administration/Assistant Secretary-Treasurer, Manager of Corporate Tax, and Corporate Secretary/Manager of Shareholders Services for a well-known local company.  He also has worked as a tax preparer for several CPA firms.  Phil has an Accounting degree from Peirce College and attended Philadelphia University.  In addition, he belongs to the National Society of Accountants, PA Society of Tax and Accounting Professionals, National Association of Tax Professionals, and Family Offices Group.  He is also involved with Indian Valley Faith Fellowship Church, Bucks-Mont Coalition for Evangelism, Indian Valley Chamber of Commerce, and Hatfield Chamber of Commerce.  Phil lives in Harleysville with his wife and has three children and six grandchildren.  In Phil’s spare time, he enjoys playing softball, hunting, fishing, walking, hiking, working out at the gym, and attending his grandchildren’s sporting events.
